These Terms and Conditions are designed to ensure a transparent and safe experience, safeguarding your financial information while offering peace of mind. With Pivot.Money by Networth Tracker, you’re not just tracking your net worth—you’re building a foundation for financial decisions, long-term stability, and personal empowerment.

Pivot.Money by Networth Tracker (www.pivotmoney.app) is operated by Networth Tracker Solutions Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at 1018 Hubtown Solaris, Saiwadi, NS Phadke Marg, Andheri East, Mumbai, Maharashtra, India, 400069 (hereinafter referred to as "Company"/ "We"/ "Us"/ "Our") and any end-user of the Services ("You"/ "Your"/ "Yourself"/ "Users").

Pivot.Money by Networth Tracker (www.pivotmoney.app) operates the Platform to enable the User to avail the Services. The User acknowledges that the Company may take assistance from its associate Companies and/or third party/ies for providing certain services. The User shall, before availing such Services, read the terms and conditions and privacy policy of such Associate Company and/or third parties also, as applicable. The Company shall not be liable for any Service that is availed by the User from such Associate Company or third party. While you access the services, the Company will act on your express instructions, and any transactions carried out on your behalf shall be subject to your sole consent, discretion and responsibility; 

For enabling the Services, the Company may partner with corporate entities including but not limited to brokerage firms, Execution Only Platforms, investment advisors, research analysts that are registered with the Securities and Exchange Board of India (“SEBI”) and NBFCs/Banks that are registered with the Reserve Bank of India (“RBI”); 

These Terms and Conditions govern your use of Pivot.Money by Networth Tracker’s services and constitute a legally binding and enforceable contract between the Company and the User. By accessing or using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions in full. We strongly recommend reviewing them carefully to understand your rights and responsibilities.

1. OFFERINGS

1.1 Pivot.Money by Networth Tracker

• Track Net Worth: Seamlessly aggregate data from various financial institutions, investments, liabilities, and other sources to provide a comprehensive overview of your net worth in one centralized dashboard.

• Manage Finances Effectively: Leverage our tools, services, and partner ecosystem to make financial decisions, improve budgeting and optimize your overall wealth management strategy.

1.1.1 Pivot.Money by Networth Tracker Process Flow

• Collaboration with Partners: We may collaborate with partners (direct sources or third parties) to fetch or validate user profiles to enhance functionality and user experience, subject to applicable laws.

• Integration with Financial Institution: We integrate with Licensed financial providers to retrieve financial information, ensuring compliance with all relevant legal and regulatory frameworks.  

• Consent Based Data Retrieval: With your explicit consent, we may use channels such as SMS or email to access and fetch financial data that contributes to your net worth tracking.

• Use of Account Aggregator Framework: As a Financial Information User (FIU), we utilize the Account Aggregator ecosystem to access consolidated financial data in a regulated, consent-driven, and secure manner. 

• Data Presentations and Insights: We organize and present financial information, including aggregated data, derived calculations, balance predictions, interest estimates, and future cash flow projections.  

  1.2 Company Rights to Services

           The Company reserves the sole and absolute right to exercise discretion in providing services to Users. We may, at our discretion, choose to limit, suspend, or deny access to the platform or specific features to any User, without the obligation to provide a reason. Such decisions shall be considered final, binding, and conclusive, and are made in accordance with applicable laws and internal policies.

2. REGISTRATION, ACCOUNT & AUTHORIZATION

1. In order to offer the Services to you, you may be required to create a user profile on the Platform and provide personal and financial information, including but not limited to name, email address, gender, date of birth, contact information, bank details and documents, PAN card, and other information including User Data. You acknowledge that providing such information is necessary for the use of the Services and agree that such information shall be accurate and complete, failing which the Company may cancel or refuse any part of the Services offered to you. Further, to access and use the Pivot.Money by Networth Tracker application, you must download it from the Google Play Store or other applicable mobile application marketplaces. Access to our services requires registration and the creation of a personal account ("Account") using a valid mobile phone number, as outlined in our Privacy Policy.

2. By creating an account, you represent and warrant that:  

• You are over 18 years of age and of legal age in your jurisdiction to form a binding contract.  

• You have the legal authority and capacity to enter into these Terms and use the Services in accordance with them.  

• The information you provide is accurate, complete, and current, and you are legally authorized to disclose it to us.

3.     You are responsible for:  

• Maintaining the confidentiality of your Account and password, including restricting access to your devices.  

• All activities or actions under your Account, whether authorized or unauthorized.  

• Logging out of your Account after each session, especially on public or shared devices.  

• Notifying us immediately of any unauthorized use of your Account or security breaches and changing your password promptly via the app settings.

4. You may not assign or transfer your Account without our prior written consent. The Company shall not be held liable for any loss or damages arising from your failure to comply with these obligations, including losses resulting from unauthorized access due to shared credentials or unsecured devices.

5. By agreeing to these Terms, you explicitly authorize the Company to act on your behalf where necessary, including but not limited to submitting relevant documents, data, or information to financial institutions, regulatory bodies, or third-party service providers, solely for the purpose of delivering our services—always in accordance with applicable laws and data protection standards.

6. You hereby acknowledge, agree and grant your express authorization to the company and associate companies to receive your investment, financial, personal and other data from different third parties and intermediaries to provide services on the platform.

3. RESTRICTIONS

  When using our Services, you agree to comply with all applicable laws and regulations. Certain actions and behaviour are strictly prohibited and may result in immediate suspension or termination of your access to the Services, at our sole discretion, and may further lead to civil or criminal liability. Unless expressly permitted by us in writing, you shall not (and shall not enable or permit any third party to):

• Use the app, website, or content for illegal, immoral, or unauthorized purposes, including violating data export laws.  

• Use the Services for non-personal or commercial purposes without our express written consent.  

• Remove or alter proprietary notices (e.g., ©, ™, ®) or frame our content.  

• Harvest or collect user data without consent, manually or via automated tools (e.g., bots, spiders).  

• Interfere with or disrupt our app, website, servers, or networks, or violate their policies.  

• Impersonate others, misrepresent affiliations, or provide false information about the Services.  

• Overload our infrastructure unreasonably, as determined by us.  

• Bypass access restrictions or security measures.  

• Copy, modify, reverse engineer, or create derivative works from our content or intellectual property.  

• Create databases by systematically downloading our content.  

• Transmit viruses, malware, or harmful code.  

• Use the Services for unintended purposes or engage in conduct that inhibits others’ use or exposes them to harm.  

• Send unsolicited promotional material (e.g., spam, chain letters).

4. INTELLECTUAL PROPERTY

  The Pivot.Money by Networth Tracker platform, including, but not limited to all content, materials, text, graphics, videos, audio, and code (“Content”), is owned or licensed by the Company and protected by copyright, patent, trademark, and other intellectual property laws. The trademarks, logos, and service marks (“Marks”) displayed are the property of the Company or respective third parties. You may not use the Marks without prior written consent from the Company or the relevant third party.

All trademarks, logos, service marks, and brand identifiers (collectively, the “Marks”) displayed on the platform are the property of the Company or their respective third-party owners. No license or right to use any Marks is granted to you by implication, estoppel, or otherwise. You may not copy, use, reproduce, display, or distribute any Marks without the prior express written consent of the Company or the applicable rights holder.

Any information, feedback, suggestions, ideas, or concepts voluntarily submitted by you through the platform—excluding personal data as governed by our Privacy Policy—shall be considered non-confidential and non-proprietary. Such submissions become the property of the Company, and we may use, reproduce, adapt, or distribute them in any manner, without acknowledgment or compensation to you.

All information submitted by you, except personal data used for transactions, is deemed the Company’s property. We may use any ideas, concepts, or techniques you provide on the platform without restriction. By initiating contact or queries, you consent to being contacted by the Company.

5. THIRD-PARTY LINKS

You may provide a hyperlink to our app or website, provided that such a link is fair, legal, and does not misrepresent, falsely imply, or suggest any affiliation, endorsement, or sponsorship by the Company. The link must not originate from or be associated with any unlawful, defamatory, or offensive content, and you must have the legal right to control the originating site. Framing of our content or inline linking without express written permission is strictly prohibited.

  From time to time, our platform may contain links to third-party websites, applications, or services solely for your convenience or reference. These external links are not under our control, and we do not endorse, guarantee, or assume responsibility for the accuracy, availability, reliability, security, or content of such third-party sites or services. We are not liable for any damages, losses, or issues arising from your use of or reliance on third-party platforms. Your interactions with any third-party services, including terms of use, privacy practices, or any transactions conducted through them, are entirely at your own risk. We reserve the right to disable or remove any third-party link at our sole discretion and without notice.

6. AI-DRIVEN FINANCIAL ASSISTANT:

As part of our services, we may provide general financial insights and assistance through our AI assistant. Pivot.Money by Networth Tracker integrates an AI-powered assistant designed to enhance user experience through intelligent financial guidance and automation. The AI Assistant leverages natural language processing and financial data modeling to support the following functionalities:

• Interactive Conversations: Users can ask financial questions, clarify investment concepts, and request summaries of their net worth or holdings in conversational language.

• Preliminary Financial Insights: Based on user data, the assistant may offer insights into savings trends, spending patterns, liquidity status, and investment diversification.

• Scenario Simulations: Generate projections for hypothetical events, such as increased SIP contributions, early retirement goals, or major purchases.

• Task Assistance: An AI-powered assistant can help users locate features within the app, schedule reminders, or generate reports based on historical data.

7. EXECUTION SERVICES 

To provide a seamless financial ecosystem, Pivot.Money by Networth Tracker offers execution capabilities through trusted third-party service providers, which includes but not limited to following:

• Equity Stocks: Orders can be routed via brokers authorized by the Bombay Stock Exchange (BSE),  National Stock Exchange (NSE) or other integrated platforms.

• Mutual Funds: Transactions are executed through BSE Star MF or MF Central, SEBI-mandated service utility for mutual fund investors and AMCs.

• Other Asset Classes: In addition to the above, the other services provided on platform will be executed through such platform and via such mode as may be legally permitted from time to time.

These integrations are subject to each platform’s regulatory compliance, KYC norms, transaction limits, and operational terms.

 Additionally, we may use such other platforms from time to time, that we may deem fit to improve our service and offerings and our terms and conditions will be updated accordingly.

8. Goal-Based Financial Planning

Pivot.Money by Networth Tracker empowers users with a structured approach to financial planning through its Goal-Based Planning tools. This not only enables users to define, monitor, and achieve specific financial milestones but also allows them to use many features such as:

• Wealth Accumulation Goals: Retirement corpus, children’s education, home purchase.

• Cash Flow-Based Targets: Emergency funds, travel budgets, lifestyle upgrades.

• Customizable Inputs: Users can set timelines, target amounts, expected returns, and contribution frequency.

Key Features:

• AI-generated progress dashboards of your Investment and goals with inflation-adjusted projections.

• Integration with net worth data to auto-calculate contribution gaps.

• Notifications and nudges to stay on track or adjust strategies.

9. DISCLOSURES ON ADVISORY VS EXECUTION ROLES (SEBI COMPLIANCE)

We are SEBI-registered Investment Advisors offering services solely in an advisory capacity. Our offerings Include financial planning, mutual fund product selection, equity advisory, and other financial advisory services. We do not execute transactions or provide portfolio management services. While we may provide tools for investment tracking or research support, all investment decisions and executions are independently carried out by you through licensed intermediaries on our platform of your choice. Our role is limited to offering unbiased guidance and information to help clients make informed financial decisions. 

10. DISCLAIMERS AND WARRANTIES

  You acknowledge and agree that your use of the Pivot.Money by Networth Tracker platform and Services is entirely at your own risk. The Company provides the platform and all associated Services on an “as is” and “as available” basis, without any warranties of any kind, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

       To the fullest extent permitted by applicable law, the Company does not:

• Verify the accuracy, authenticity, or credibility of user-submitted data, documents, or claims during any transmission process, and disclaims all liability for fraud, misrepresentation, or incorrect information.

• Guarantee or assure the success of any financial process or transaction initiated through the platform, as final decisions rest with financial institutions and depend on the accuracy of user-provided information.

• Warrant the accuracy, timeliness, suitability, or completeness of financial data retrieved from third-party sources or displayed through the Services.

       We do not guarantee that:

• The Services will meet your expectations or specific financial needs.

• The platform will be uninterrupted, timely, secure, or free from errors or vulnerabilities.

• The results obtained from using the Services will be accurate, reliable, or consistent.

• Any defects or issues in the platform will be identified or corrected.

       Any content or data accessed, downloaded, or otherwise obtained through the use of the Services is done at your own discretion and risk. You are solely responsible for any damage to your device or loss of data that may result. No information, advice, or communication provided by the Company—whether written or oral—shall create any warranty unless explicitly stated in these Terms.

Net worth calculations and financial summaries provided through the platform are derived on a best-effort basis using available internal and external data. The Company does not guarantee the accuracy, completeness, or reliability of these estimates and disclaims any liability arising from decisions made or actions taken based on such data.

11. LIMITATION OF LIABILITY

       The Company shall not be liable for any direct, indirect, special, punitive, exemplary, or consequential losses arising from your use of the app, including loss of profit, whether based on contract, tort, or otherwise.  

       We have zero liability for:  

• Misrepresentation of user-provided information- Any inaccuracies or false representations made by the user in providing information to the platform.

• Errors in documentation by the user -Any errors or omissions in documentation or data submitted by the user.  

• Third Party Actions- Any actions, claims, or disputes initiated by third parties, including financial institutions or service providers, against the user. 

       You are solely responsible for financial decisions made using the Services, and we are not liable for any resulting loss or damage. Your use of the platform is at your own risk.

In no event shall the Company’s total liability to you, for all claims, damages, losses, and causes of action, exceed the amount you have paid to the Company, if any, for accessing the Services during the twelve (12) months preceding the claim.

12. INDEMNITY

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, successors, and assigns from any claims, losses, or expenses (including attorneys’ fees) arising out of or in connection with:

• Breach of Representations and Warranties: Your violation or breach of any representations, warranties, or obligations outlined in these Terms and Conditions. 

• Non-fulfillment of Covenants: Any failure on your part to fulfill any covenant, agreement, or obligation under these Terms. 

• Judicial Orders or Expenses: Costs or legal expenses resulting from your misrepresentation or breach, including but not limited to those arising from intellectual property violations. 

• Third-party Claims: Any claims made by third parties against the Company, whether directly or indirectly related to your use of the Services. 

• Gross Negligence or Willful Misconduct: Any actions or omissions by you that constitute gross negligence or willful misconduct. 

In the event that any Service, feature, or content made available through the platform is alleged to infringe the intellectual property rights of a third party, you agree to, at your sole expense:- Secure our right to continue using the infringing item, or  

- Replace or modify it to be non-infringing.

13. GOVERNING LAW & JURISDICTION

These Terms and Conditions, as well as any disputes, claims, or differences arising from or in connection with these Terms or your relationship with the Company, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

       Any legal action, suit, or proceeding arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.

14. DELETION OR TERMINATION

You may terminate your agreement with us by deactivating your Account and discontinuing use of the Services. Options to archive specific data or delete your Account are available in the app’s support section.

Upon deletion or termination, we consider the agreement terminated but may retain transaction records for regulatory or record-keeping purposes.

   Please note that any outstanding obligations or liabilities incurred prior to the termination or deletion of your Account shall survive the termination of this agreement.

15. FORCE MAJEURE

The Company shall not be held liable for any failure or delay in the performance of its Services under these Terms, including but not limited to, any disruption to the platform, that results from causes beyond its reasonable control. Such events may include, but are not limited to, natural disasters (e.g., fire, flood, earthquake), acts of war, terrorism, pandemics, government lockdowns, civil unrest, technical failures, power outages, labor disputes, or any other unforeseen circumstances or events that prevent or delay the performance of our obligations.

In the event of such an occurrence, the Company’s obligations shall be suspended for the duration of the Force Majeure event, and we shall make reasonable efforts to mitigate its impact.

16. AMENDMENT

The Company reserves the right to modify, update, or revise these Terms at any time. Any changes will be posted on our website or app, and the updated Terms will supersede and replace all prior versions. The updated Terms will take effect immediately upon posting.

You acknowledge that it is your responsibility to review these Terms regularly to stay informed of any changes. Continued use of the Services after any such revisions will be deemed as your acceptance of the updated Terms. If you do not agree with the updated Terms, you may opt out by ceasing use of the Services.

The Company may, at its discretion, notify you of material changes to these Terms via email or other communication channels.

The Company is committed to maintaining the confidentiality and security of your personal information, data, and transactions. We understand the importance of protecting your privacy, and we are legally obligated to safeguard the information you provide while using our Services.

The failure of the Company to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce such provision or any other provision in the future. A waiver of any right or provision of these Terms shall be effective only if in writing and signed by an authorized representative of the Company.
